General Terms and Conditions of Sale (GTCS) – IAether

1. Purpose

These General Terms and Conditions of Sale (GTCS) apply to any order of services or solutions provided by IAether, operated by the company Dedale, for both business (B2B) and individual (B2C) clients.

2. Services Offered

IAether provides:

  • Monthly subscriptions to intelligent voice agents

  • Usage-based services (calls, minutes, interactions)

  • Setup, configuration, or support fees

  • Custom services tailored to client needs

Each contract may include specific terms depending on the sector, location, or tools used.

3. Pricing and Payment

Prices are stated in euros excluding tax (VAT not included) and are specified in the signed quote or contract.
Payment is due:

  • Immediately for setup fees, licenses, or software

  • Within 30 days for recurring usage, according to the contract terms

Accepted payment methods: credit card, bank transfer, SEPA direct debit, Stripe, PayPal, or invoicing for business clients.

4. Activation and Delivery

IAether services are activated within 48 hours following validation and access to a phone number (provided by the client or purchased on their behalf).
Delivery and configuration are customized based on the project. Timelines are defined in the quote or contract, depending on the client’s requirements (sector, language, country, tools, etc.).

5. Termination

The client may terminate the contract at any time with 15 days’ notice before the next billing cycle.
No refund will be issued, except in the case of a clear error or proven fault on the part of IAether.

6. Liability

IAether cannot be held liable for:

  • Service interruptions due to maintenance or technical issues

  • Errors resulting from incorrect use or non-compliant configuration

  • Force majeure events (network outage, cyberattack, external disruptions…)

Services are provided “as is” and adapted to each use case.

7. Governing Law and Dispute Resolution

These GTCS are governed by French law. In the event of a dispute, the competent court shall be located in Toulouse, unless otherwise required by law.
